PART 240 - GENERAL RULES AND REGULATIONS, SECURITIES EXCHANGE ACT OF 1934
240.12d1 - 2 - Effectiveness of registration.
(a) A request for acceleration of the effective date of registration pursuant to section 12(d) of the act and 240.12d11 shall be made in writing by either the registrant, the exchange, or both and shall briefly describe the reasons therefor.
(b) A registration statement on Form 8A (17 CFR 249.208a) for the registration of a class of securities under Section 12(b) of the Act (15 U.S.C. 78l(b)) shall become effective: (1) If a class of securities is not concurrently being registered under the Securities Act of 1933 (Securities Act), upon the later of receipt by the Commission of certification from the national securities exchange or the filing of the Form 8A with the Commission; or (2) If a class of securities is concurrently being registered under the Securities Act, upon the later of the filing of the Form 8A with the Commission, receipt by the Commission of certification from the national securities exchange listed on the Form 8A or effectiveness of the Securities Act registration statement relating to the class of securities.
(c) A registration statement on Form 8A (17 CFR 249.208a) for the registration of a class of securities under Section 12(g) of the Act (15 U.S.C. 78l(g)) shall become effective: (1) If a class of securities is not concurrently being registered under the Securities Act, upon the filing of the Form 8A with the Commission; or (2) If class of securities is concurrently being registered under the Securities Act, upon the later of the filing of the Form 8A with the Commission or the effectiveness of the Securities Act registration statement relating to the class of securities.
